These Terms & Conditions (“Terms”) govern the installation and use of StratMindAI (“we,” “our,” “us”), a proprietary software product developed by Sandro Gasparoto Consulting. StratMindAI is designed to run within the customer’s infrastructure and is not a web-hosted service.

By installing, using, or deploying StratMindAI, you (“the Customer”) agree to these Terms.

1. Scope of Use

StratMindAI is licensed as an on-premises solution for internal use by your organization. It is intended to support document analysis and strategic decision-making via AI-powered querying of internal content.

2. License Terms

A non-exclusive, non-transferable license is granted to install and use StratMindAI for your internal business operations. You may not sublicense, reverse-engineer, modify, or distribute the software without written authorization.

3. Deployment & Data Responsibility

The software is installed within your own IT environment (local servers or private cloud). You are fully responsible for the handling, processing, protection, and compliance of all data used within StratMindAI.

4. External AI API Use

StratMindAI may optionally interact with OpenAI or similar large language model APIs. You control this integration. If enabled, you assume all responsibility for the type of data transmitted, and must adhere to the third-party provider’s terms and data policies.

5. Security & Access Control

You are responsible for implementing appropriate access restrictions, role-based controls, and network protection measures around StratMindAI’s deployment.

6. Ownership & Intellectual Property

StratMindAI, including its codebase, workflows, and generated formats, is the intellectual property of Sandro Gasparoto Consulting. This license grants use—not ownership.

7. Warranty Disclaimer

StratMindAI is provided “as is.” We do not warrant uninterrupted operation or fitness for any specific outcome. You are responsible for verifying results before making business decisions based on system outputs.

8. Limitation of Liability

In no event shall Sandro Gasparoto Consulting be liable for indirect, incidental, or consequential damages arising out of use, including but not limited to loss of data, business interruption, or reputational harm.

9. Support & Updates

Support and updates are available as agreed in your service agreement or licensing contract. StratMindAI does not auto-update and will not contact external servers unless explicitly configured to do so.

10. Termination

License may be terminated if you breach these Terms. Upon termination, all copies of the software must be destroyed or deleted.

11. Governing Law

These Terms are governed by the laws of the United Kingdom. Any legal dispute will be resolved in the courts of England and Wales.
